Leeds-based practice reviewing insider dealing activity and regulatory filings for UK issuers, company secretaries, and counsel.
Why we exist
Boards and company secretaries often face a narrow window in which dealing activity must be explained against the filings and insider lists already on the file. Nodevector Path was established in Leeds to provide that reading as an independent desk practice — separate from the firm that may later advise on formal correspondence with the regulator.
How we work
We treat the dealing register, insider list, and lodged notifications as primary sources. Narrative from management is useful context; it does not replace the chronology on paper. Findings are written so counsel can adopt, challenge, or extend them without decoding jargon invented for the engagement.
People and place
Our reviewers work from Level 7, 58 Wellington Street, Leeds LS1 4DL, with clients across AIM and Main Market issuers. Engagements are led by practitioners who have spent years in issuer governance and market disclosure support — not as a litigation outfit, and not as a software vendor.
Values in practice
- Independence — We do not audit the same matters we previously cleared as company advisers on the same facts.
- Proportion — Scope matches the question; we do not expand a PDMR check into a full market-abuse brief without agreement.
- Clarity — Findings state what the documents show, what they do not show, and what remains unknown.
Working with counsel
Most instructions arrive through external solicitors or in-house legal teams. We are comfortable sitting behind counsel’s privilege arrangements when those are already in place, and we will say so plainly when a request falls outside review work and needs a lawyer’s opinion instead.
